15. The Com­pa­ny may ter­mi­nate this Agree­ment if the Agents do not com­ply with the terms of this Agree­ment or do not sell the Company‘s Prod­ucts sat­is­fac­to­ri­ly. The company‘s opin­ion on this mat­ter is final. How­ev­er, the com­pa­ny must inform the agents one month in advance in order to make its state­ment about the rea­sons why the com­pa­ny intends to ter­mi­nate the con­tract. 19. All dis­putes and dis­putes of any kind aris­ing out of or relat­ing to this Agree­ment shall be referred to arbi­tra­tion and the final deci­sion of an arbi­tra­tor to be agreed upon and appoint­ed by both par­ties or, in the event of dis­agree­ment on the appoint­ment of a sin­gle arbi­tra­tor, to the appoint­ment of two arbi­tra­tors. one of them appoint­ed by each par­ty and, if there are two arbi­tra­tors, they shall des­ig­nate, before tak­ing up the ref­er­ence office, a third arbi­tra­tor to be arbi­tra­tord. Such sub­mis­sion to arbi­tra­tors shall be deemed to be a sub­mis­sion to arbi­tra­tion with­in the mean­ing of the Arbi­tra­tion and Con­cil­i­a­tion Act, 1996, or an amend­ment there­to by law. The arbi­tral award of the arbitrator(s) is final and bind­ing on the par­ties. 1. The under­tak­ing shall appoint the agents and the agents shall under­take to.. with effect.. or a peri­od of five years for the pro­mo­tion and sale of the company‘s prod­ucts in this field.

17. At the end of this con­tract, the agents shall deliv­er to the com­pa­ny the goods which do not remain sold all the accounts and doc­u­ments relat­ing to the said agency. 13. The agents may not mort­gage the prop­er­ty of the com­pa­ny deliv­ered to them with­out the writ­ten con­sent of the com­pa­ny. 12. Dur­ing the con­tin­u­a­tion of the Agency, agents may not buy, sell or nego­ti­ate, for or on behalf of a per­son oth­er than the com­pa­ny, prod­ucts man­u­fac­tured by the com­pa­ny with­out the writ­ten con­sent of the com­pa­ny. The fol­low­ing sig­na­tures are intend­ed for the recog­ni­tion and approval of the par­ties con­cerned. CONSIDERING that the com­pa­ny man­u­fac­tures var­i­ous elec­tron­ic prod­ucts and house­hold appli­ances and that the agents who have an appro­pri­ate infra­struc­ture to deliv­er the company‘s prod­ucts have approached the com­pa­ny to appoint them as agents in the state of Rajasthan for the pro­mo­tion and sale of the company‘s prod­ucts in this region. M/s .….….….…, a com­pa­ny found­ed under the Com­pa­nies Act of 1956 and hav­ing its reg­is­tered office in.…. here­inafter referred to as “the Enter­prise” (unless it is relat­ed to the con­text or mean­ing there­of that it sig­ni­fies and includes its suc­ces­sors and assignees) of Part One If the pro­vi­sions of this Agree­ment are held to be unen­force­able or ille­gal, the Par­ties will coop­er­ate in agree­ing on a sim­i­lar applic­a­ble pro­vi­sion. The par­ties have entered into this real estate agency con­tract of their own free will and agree that the bro­ker remains an inde­pen­dent con­trac­tor and, as such, is respon­si­ble for man­ag­ing the hours worked to ful­fill the oblig­a­tions aris­ing from this real estate con­tract. Dur­ing the term of this agree­ment, the agent must fol­low the best inter­ests of the sell­er with the high­est priority.

18. Under no cir­cum­stances may agents assign or trans­fer the Agency to anoth­er per­son with­out the writ­ten con­sent of the com­pa­ny. THIS AGREEMENT is made on.….….… das.….….… Day of.….….… 20.….…. between: This real estate agency con­tract con­sti­tutes, with all the doc­u­ments attached, the entire agree­ment between the par­ties. (2) Agents sell the company‘s prod­ucts and work con­sci­en­tious­ly for the pro­mo­tion and sale of the company‘s products.
